Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Logixboard platform and any related websites or digital interfaces provided by Logixboard, Inc. (“Logixboard,” “we,” “us,” or “our”). These Terms apply to all Authorized Users who access the Services under a Customer’s subscription.

If your organization (the “Customer”) has entered into a Master Services Agreement (“MSA”), Order Form, or other written agreement with Logixboard, that agreement governs the commercial relationship between Customer and Logixboard. In the event of any conflict between these Terms and a signed agreement, the signed agreement controls.

By accessing or using the Services, you confirm that you understand and agree to these Terms.

01Access to the Services

1.1Authorized Users Only

You may access the Services only if you have been invited or provisioned by the Customer that maintains the account with Logixboard. Your access is subject to these Terms and the Customer’s internal policies.

1.2Account Credentials

You must keep your login credentials confidential and may not share or transfer them to any other person. You are responsible for all activities that occur under your account credentials.

1.3Service Availability

The Services may be temporarily unavailable due to maintenance, updates, or circumstances outside our reasonable control. We will use reasonable efforts to notify Customer of planned maintenance.

02Acceptable Use

2.1Prohibited Conduct

You agree not to:

  • Reverse-engineer, decompile, or modify the Services.
  • Circumvent or interfere with security, authentication, or access controls.
  • Upload or transmit viruses, malware, or harmful code.
  • Use the Services to violate any law or third-party rights.
  • Introduce any data that you are not authorized to provide.
  • Use the Services in any manner that could harm, disrupt, or degrade the platform or its users.

2.2Prohibited Data Types

Our Services are not designed to receive or store Protected Health Information (“PHI”) or other special categories of personal data, and we ask customers and users not to submit such data. You agree not to upload, transmit, or store PHI or special category personal data in the Services.

2.3Compliance with Customer Obligations

You may use the Services only as permitted by the Customer’s policies and any agreements between Customer and Logixboard.

03Customer Data

3.1Data Ownership

Customer retains all right, title, and interest in the data it provides or generates through the Services (“Customer Data”).

3.2Logixboard’s Use of Data

Logixboard may use Customer Data solely as permitted under the Customer’s MSA, including to provide, secure, maintain, and improve the Services, and to develop Aggregated Data or Usage Data that does not identify individuals.

3.3Data Protection

Where Customer Personal Data is processed subject to data protection laws, Logixboard will comply with the Data Processing Addendum (“DPA”) located at logixboard.com/dpa.

04Third-Party Platforms

If Customer connects the Services to a third-party system (such as a TMS or communications tool), your use of those platforms is governed solely by your agreements with their providers. Logixboard is not responsible for the security or functionality of those platforms.

05Fees & Billing (For Clarity Only)

These Terms do not establish any payment obligations between you (as an Authorized User) and Logixboard.

All billing, pricing, and financial terms are governed by the Customer’s MSA and Order Form, including:

  • All fees are non-cancellable and non-refundable, except as expressly stated.
  • If Logixboard terminates the Service without cause, Logixboard will refund any prepaid, unused fees.
  • SLA service credits are the Customer’s sole and exclusive remedy for downtime or performance issues.
  • No refunds after trial conversion unless the conversion was accidental.
  • Billing errors will be promptly corrected with a refund or credit.
  • Order Forms automatically renew unless the Customer provides 30 days’ notice prior to renewal.

06Intellectual Property

Logixboard retains all intellectual property rights in the Services, including software, platform technology, features, and enhancements. These Terms do not grant you any ownership rights.

If you provide feedback or suggestions, Logixboard may use them without restriction or obligation.

07Termination & Suspension

Logixboard or Customer may suspend or revoke your access immediately if:

  • You violate these Terms;
  • Customer requests deactivation;
  • Required by law;
  • Your account credentials are compromised.

Upon termination of access, you must stop using the Services.

08Warranty Disclaimer

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Logixboard disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

09Limitation of Liability

To the maximum extent permitted by law:

  • Logixboard will not be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of data or business interruption.
  • Logixboard’s total liability arising out of or relating to your use of the Services shall not exceed the amounts paid by Customer under the applicable MSA during the prior contract period.

Nothing in these Terms limits liability for bodily injury, gross negligence, or willful misconduct.

10Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Any disputes shall be resolved under the arbitration terms in the Customer’s MSA (JAMS arbitration in King County, Washington), except where prohibited by law.

11Changes to These Terms

Logixboard may update these Terms from time to time. When material changes are made, Logixboard will notify Customer through the Services or via email. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

12Miscellaneous

  • These Terms do not modify or supersede the Customer’s MSA, DPA, Order Form, or other written agreements.
  • If any part of these Terms is found unenforceable, the remaining sections will remain in effect.
  • “Including” means “including without limitation.”
